Envoy Textiles approves 30% dividend at 30th AGM
Envoy Textiles Limited, the first LEED Platinum–certified denim manufacturer in the world, held its 30th Annual General Meeting on December 6, 2025, at the Gulshan Shooting Club in Dhaka.
Shareholders attended along with members of the Board of Directors, senior management and statutory auditors. Founder and Chairman Engr. Kutubuddin Ahmed chaired the meeting. Managing Director Tanvir Ahmed was also present.
Company Secretary M Saiful Islam Chowdhury conducted the AGM. Representatives of the Nomination and Remuneration Committee and the Audit Committee also attended.
Shareholders approved the Audited Financial Statements for the year ending June 30, 2025. They also approved a 30% dividend recommended by the Board.
Tanvir Ahmed said Envoy Textiles posted more than double the profit of the previous year. Net profit rose to about Tk 141 crore, the highest since inception. Earnings per share increased to Tk 8.40 from Tk 3.58. Net asset value per share rose to Tk 58.32 from Tk 51.93. Operating cash flow per share increased to Tk 4.77 from Tk 3.68.
Revenue reached Tk 1,862.48 crore in 2024–25, up from Tk 1,426.14 crore in 2023–24, a rise of 30.60%. The company sold 55.41 million yards of denim fabric, a 39.4% increase, supported by global demand and expanded sales.
Tanvir Ahmed said, "In FY 2024–25 we significantly enhanced our overall business efficiency. Our revenue growth, effective cost management, and improved profitability demonstrate the strength of our business model. We are confident that the initiatives we have undertaken will continue to reinforce Envoy Textiles Limited's position and deliver increased returns for our valued shareholders in the years ahead."
Shareholders elected Sumayyah Ahmed, Sunil Daulatram Daryanani and Md Moin Uddin as Directors. The appointment of Independent Director Tanzina Haque, FCMA, Professor at the Institute of Business Administration, University of Dhaka, was confirmed. The Chairman said her two decades of service strengthen the company's commitment to governance, diversity and independent oversight.
Shareholders also approved the appointment of Auditors for the next term and endorsed the appointment of a Professional Accountant or Secretary for 2025–26.
The Chairman thanked shareholders for their support as the AGM closed.
