Walton Hi-Tech, Digi-Tech merger moves forward after court directive

The merger process between Walton Hi-Tech Industries PLC and Walton Digi-Tech Industries Limited has advanced following a directive from the High Court Division of the Supreme Court of Bangladesh.

The court issued procedural directives on April 9 in Company Matter No. 318/2026.

Following this, Walton Hi-Tech’s board finalised the next steps at its meeting on April 11, says a press release.

According to a price sensitive information disclosure, May 4 has been set as the record date for shareholder approval.

An extraordinary general meeting will be held on May 21 on a digital platform.

Approval from shareholders, creditors, regulatory authorities and the High Court Division will be required to complete the merger.

The process began on September 3, 2025, when a memorandum of understanding was signed between the two companies.

Walton Digi-Tech manufactures products including laptops, computers, printers, mobile phones, printed circuit boards and electric bikes.

Walton Hi-Tech produces home and electrical appliances including refrigerators, compressors, air conditioners, televisions and washing machines.

The company said the merger is expected to expand product offerings, improve efficiency and reduce operating costs.

For the fiscal year ended June 30, 2025, Walton Digi-Tech reported net revenue of BDT 915.80 crore and profit after tax of BDT 4.09 crore.

Walton Hi-Tech reported net revenue of BDT 7,082.25 crore and profit after tax of BDT 1,036.62 crore during the same period.
